The liquidation procedure for a legal entity (LE) is carried out in accordance with Articles 61-63 of the Civil Code of the Russian Federation.
If the liquidation of an LLC cannot be completed within one year from the date of the decision, the period may be extended by court order, but for no more than six months.
If the LLC participants or the body that made the decision to liquidate the LLC cancel the previously adopted decision to liquidate, or if the deadline expires, a repeat decision to voluntarily liquidate the LLC is possible no sooner than six months after the date of entry of this information into the Unified State Register of Legal Entities.
Failure to submit notice on time entails administrative liability.
The procedure takes approximately six months from the date of the decision to initiate liquidation.

• Trust of counterparties: Up-to-date data in the Unified State Register of Legal Entities (EGRUL) increases trust in the organization.
• Avoiding tax issues: Out-of-date information can lead to audits by tax authorities and, consequently, fines. For example, if the legal address has changed, but this is not reflected in the Unified State Register of Legal Entities (USRLE), letters from the tax authorities simply won't arrive.
